1. Agreement to Terms
By accessing or using the OpenEsq website located at openesq.com (the "Site") or any services made available through the Site (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Site or Services.
These Terms constitute a legally binding agreement between you and Ideax LLC, a limited liability company ("Ideax LLC," "we," "us," or "our"), the entity that operates the OpenEsq platform.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated effective date. Your continued use of the Site or Services following any modification constitutes acceptance of the revised Terms.
2. Description of Services
OpenEsq provides a platform that connects enterprises seeking review of autonomous agent actions with licensed attorneys in our network. Our Services include:
- A web-based platform and API through which users may submit legal matters for attorney review
- An advisory consulting practice that assists organizations in developing agent governance frameworks
- Access to informational content, resources, and tools related to AI agent governance and legal risk
OpenEsq is a technology and advisory platform. We are not a law firm. We do not provide legal advice. The licensed attorneys who perform reviews through our platform are independent professionals employed by their own firms, not by Ideax LLC. The attorney-client relationship, if any, is between you and the reviewing attorney's firm, not between you and Ideax LLC.
3. No Legal Advice
Nothing on this Site, and nothing provided by Ideax LLC through its advisory or platform services, constitutes legal advice. All information provided through the Site is for general informational purposes only and does not create an attorney-client relationship with Ideax LLC.
Attorney reviews conducted through the platform are performed by independent licensed attorneys. The scope, nature, and any privileges associated with those reviews depend on the specific engagement structure and are governed by the terms of the engagement between you and the reviewing attorney. Ideax LLC makes no representation that any particular review will give rise to or preserve attorney-client privilege, and privilege determinations are the responsibility of the reviewing attorney.
You should not rely on any content on this Site as a substitute for qualified legal counsel on your specific situation.
4. Eligibility and Account Registration
The Services are intended for use by businesses and professionals. By using the Services, you represent and warrant that:
- You are at least 18 years of age
- You have the authority to bind any organization on whose behalf you are acting
- Your use of the Services does not violate any applicable law or regulation
- All information you provide to us is accurate, current, and complete
To access certain features, you may be required to register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access to your account.
5. Acceptable Use
You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Submit any matter that you do not have the legal right to submit or that contains false or misleading information
- Use the Services in any manner that could violate any applicable law, regulation, or professional rule, including rules governing the practice of law
- Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to it
- Use automated tools, scrapers, or bots to access or extract data from the Site without our express written consent
- Interfere with or disrupt the integrity or performance of the Services
- Reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent
- Use the Services to engage in any activity that constitutes the unauthorized practice of law
6. Matter Submissions and Data
6.1 Your Content
When you submit documents, data, or other content through the Services ("Submitted Content"), you grant Ideax LLC a limited, non-exclusive license to process, route, store, and transmit that content solely for the purpose of delivering the Services to you. You retain all ownership rights in your Submitted Content.
6.2 Confidentiality
We treat Submitted Content as confidential. We do not use Submitted Content to train machine learning models or share it with other clients. Submitted Content is accessible only to Ideax LLC personnel involved in operating the platform, the reviewing attorney assigned to your matter, and any parties you authorize.
6.3 Data Security
We implement reasonable technical and organizational measures to protect Submitted Content from unauthorized access, loss, or disclosure. No method of transmission or storage is completely secure. You acknowledge that you transmit Submitted Content at your own risk.
6.4 Retention
We retain Submitted Content and associated matter records for the period specified in your engagement terms, or as required by applicable law. Upon request, we will work with you to configure retention periods consistent with your organization's policies.
7. Fees and Payment
Fees for platform services are quoted upfront and fixed prior to the commencement of any attorney review. Fees are escrowed at submission and released upon completion of the review. By submitting a matter, you authorize the charge of the quoted fee.
Fees for advisory consulting engagements are governed by a separate written engagement agreement between you and Ideax LLC. These Terms do not modify or supersede the terms of any signed engagement agreement.
All fees are non-refundable except as expressly provided in your engagement terms or as required by applicable law.
8. Independent Attorney Network
Attorneys who perform reviews through the OpenEsq platform are licensed professionals employed by their own law firms. They are not employees, agents, or contractors of Ideax LLC. Ideax LLC does not control, supervise, or direct the professional judgment of network attorneys.
Ideax LLC does not guarantee any particular outcome from an attorney review, including but not limited to the preservation of attorney-client privilege, regulatory compliance, or the accuracy of any legal analysis. You acknowledge that attorney review through the platform does not constitute a guarantee of legal protection.
Ideax LLC screens network attorneys for active bar membership and relevant experience, but makes no representation regarding the quality, accuracy, or fitness for purpose of any particular attorney's work product.
9. Intellectual Property
All content on this Site, including but not limited to text, graphics, logos, design, and software, is the property of Ideax LLC or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Site or its content other than the limited right to access and use the Services as permitted by these Terms.
The OpenEsq name, logo, and any associated marks are trademarks of Ideax LLC. You may not use our marks without our prior written consent.
10. Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IDEAX LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IDEAX LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IDEAX LLC DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE SITE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IDEAX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF IDEAX LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL IDEAX LLC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO IDEAX LLC IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Ideax LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit through the Services.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the Commonwealth of Virginia, and you consent to personal jurisdiction in those courts.
Notwithstanding the foregoing, Ideax LLC may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with any signed engagement agreement and our Privacy Policy, constitute the entire agreement between you and Ideax LLC regarding the Services and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
14.3 Waiver
No waiver of any provision of these Terms shall be effective unless in writing. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
14.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
14.5 Force Majeure
Ideax LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, or failures of third-party service providers.
